Terms of Use for Field Optic

These Terms of Use ("Terms") govern your access to and use of the Field Optic website, our SaaS application, and any related services (collectively, the "Service") provided by Field Optic ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you represent that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of a company or other entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not use the Service.

We may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms on our website or through the Service. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms.

2. Description of Service

Field Optic is a multi-tenant SaaS platform designed for irrigation dealers, providing tools for service work orders, sales tracking, project management, location-based mapping, and customer relationship management (CRM). The Service allows users to manage customer data, create invoices, add products, and handle other irrigation-related business operations.

We may add, modify, or discontinue features of the Service at any time without notice. We do not guarantee that the Service will always be available, uninterrupted, or error-free.

3. User Accounts

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including violation of these Terms.

4. Use of the Service

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to:

• Comply with all applicable laws, including data protection laws such as PIPEDA (Canada), GDPR (EU), and CCPA (US).
• Use the Service solely for your internal business purposes as an irrigation dealer or related professional.

You are responsible for all content you upload, post, or otherwise transmit through the Service ("User Content"). You represent that you have all rights to User Content and that it does not violate any third-party rights or applicable laws.

We use Supabase with Row Level Security (RLS) to ensure multi-tenant data isolation, but you remain responsible for the security of your own data and compliance with relevant regulations.

5. Prohibited Activities

You agree not to:

• Use the Service for any illegal or unauthorized purpose.
• Interfere with or disrupt the Service or servers/networks connected to it.
• Attempt to gain unauthorized access to any part of the Service or other users' accounts.
• Upload viruses, malware, or other harmful code.
• Scrape, crawl, or use automated means to extract data from the Service without our permission.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to transmit spam, unsolicited communications, or infringing content.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

We reserve the right to investigate and take appropriate action against violations, including termination of your account and referral to law enforcement.

6. Intellectual Property

The Service, including all software, content, trademarks, and other intellectual property, is owned by Field Optic or our licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes, subject to these Terms.

You retain ownership of your User Content, but by uploading it, you grant us a worldwide, royalty-free, non-exclusive license to use, store, and process it as necessary to provide the Service.

Do not reproduce, distribute, or create derivative works from the Service without our written permission.

7. Payments and Subscriptions

Certain features of the Service may require payment of fees. Subscription plans, pricing, and payment terms will be detailed at the time of purchase. All payments are non-refundable unless otherwise stated.

You agree to provide accurate billing information and authorize us (or our payment processor) to charge your payment method for all fees. We may update pricing with notice. Failure to pay may result in suspension or termination of your account.

8. Termination

You may terminate your account at any time by contacting us. Upon termination, your access to the Service will cease, and we may delete your data after a reasonable period (e.g., 30 days), subject to legal requirements.

We may terminate or suspend your account at any time, with or without notice, for violations of these Terms, non-payment, or any other reason. Upon termination, all licenses and rights granted to you will end.

9. Disclaimers and Limitations of Liability

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will meet your requirements, be uninterrupted, timely, secure, or error-free.

To the fullest extent permitted by law, Field Optic, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from or related to the Service, even if advised of the possibility of such damages.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Field Optic and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms or applicable laws.

11. Governing Law

These Terms shall be governed by the laws of the Province of British Columbia, Canada, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved exclusively in the courts located in Vancouver, British Columbia.

12. Miscellaneous

• Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.
• Waiver: No waiver of any term shall be deemed a further or continuing waiver.
• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us.
• Assignment: We may assign these Terms without your consent. You may not assign without our written consent.
• Force Majeure: We are not liable for delays or failures due to events beyond our control.
